Artisan Terms of Use

By submitting an application to the Artisan Dials contributor program and/or by logging in to the Artisan Portal, you ("Artisan") agree to be bound by these Artisan Terms of Use ("Artisan Terms"). These Artisan Terms are in addition to, and do not replace, the general Artisan Dials Terms of Use available at artisandials.com/terms. Artisan Dials reserves the right to update these Artisan Terms at any time. Continued use of the Artisan Portal following any changes constitutes your acceptance of the revised terms. Material changes will be communicated by email to the address on your account.

To participate in the Artisan program you must: • Be at least 18 years of age. • Provide accurate and truthful information in your application and profile. • Maintain a single artisan account — multiple accounts per individual are not permitted. • Keep your login credentials confidential. You are responsible for all activity that occurs under your account. Artisan Dials reserves the right to suspend or terminate any account that violates these terms, engages in fraudulent activity, or damages the reputation of the Artisan Dials brand.

You retain ownership of the original artwork and designs you upload to the Artisan Portal ("Your Content"). By uploading Your Content, you grant Artisan Dials a non-exclusive, worldwide, royalty-free license to: • Display, reproduce, and distribute Your Content on the Artisan Dials website and associated marketing materials. • Use Your Content in promotional campaigns, social media posts, and press materials related to the Artisan Dials brand. • Create physical products (watch dials, prints, merchandise) based on Your Content for sale through the Artisan Dials platform. This license remains in effect for as long as Your Content is listed on the platform. You may request removal of specific content at any time by contacting [email protected]; removal will be processed within 10 business days.

All content you submit — dial images, article text, profile information, and video clips — must: • Be your own original work. You may not upload designs that copy, trace, or are substantially derived from the work of another artist or brand without explicit written permission. • Not infringe any third-party copyright, trademark, patent, or other intellectual property right. • Not depict illegal activity, hate speech, explicit sexual content, or content that targets or demeans any individual or group. • Not include false, misleading, or defamatory statements. • Not contain malware, spam links, or any code intended to harm users or systems. Artisan Dials reserves the right to remove any content that violates these standards without prior notice. Repeated violations will result in account termination.

You are solely responsible for ensuring that your designs do not infringe the intellectual property rights of third parties. This includes, but is not limited to: • Registered trademarks (brand logos, team insignia, corporate marks). • Copyrighted artwork, photographs, or illustrations created by others. • Likeness rights of identifiable individuals. If Artisan Dials receives a valid intellectual property complaint regarding Your Content, we reserve the right to remove the content immediately and, if required by law, to disclose your contact information to the complaining party. Artisan Dials will not be liable for any damages arising from your infringement of third-party rights.

When a dial you have listed is sold through the Artisan Dials platform: • Artisan Dials handles all payment processing, customer service, order fulfillment, and shipping. • A commission is deducted from the sale price of each item. The applicable commission rate will be communicated to you in your approval email and may be updated with 30 days' written notice. • You will receive your share of the sale proceeds according to the payment schedule established during onboarding. • Artisan Dials reserves the right to issue refunds or replacements to customers at its discretion. In the event of a refund, the corresponding artisan payment will be reversed or withheld. You are responsible for ensuring that your listed prices are accurate and reflect the true nature of the product. Artisan Dials may adjust pricing in consultation with you to align with market standards.

Articles submitted through the Artisan Portal are subject to editorial review before publication. Artisan Dials reserves the right to: • Approve, reject, or request revisions to any submitted article. • Edit articles for grammar, spelling, formatting, and clarity without altering the substantive meaning. • Remove published articles that are found to violate these terms after publication. You retain authorship credit for your articles. By submitting an article, you grant Artisan Dials the right to publish, distribute, and promote the article on the Artisan Dials website and associated channels.

As an Artisan, you may have access to non-public information about Artisan Dials operations, pricing strategies, customer data, or upcoming products. You agree to keep all such information strictly confidential and not to disclose it to any third party without the prior written consent of Artisan Dials.

Either party may terminate the artisan relationship at any time by providing written notice to the other party. Upon termination: • Your access to the Artisan Portal will be revoked. • Your dial listings will be removed from the public site within 10 business days. • Any pending payments owed to you will be settled within 30 days of termination, less any outstanding commissions or chargebacks. • Your published articles may remain on the site unless you specifically request their removal. Artisan Dials may terminate your account immediately and without notice if you violate these terms, engage in fraudulent activity, or take actions that damage the Artisan Dials brand or its customers.

The Artisan Portal is provided "as is." Artisan Dials makes no warranties regarding uptime, data retention, or the continued availability of the platform. To the fullest extent permitted by law, Artisan Dials shall not be liable for any indirect, incidental, or consequential damages arising from your participation in the Artisan program, including but not limited to lost profits, lost data, or reputational harm.

These Artisan Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Artisan Dials operates, without regard to conflict of law provisions. Any disputes arising under these terms shall be resolved through binding arbitration or in the courts of competent jurisdiction in that state.
